J. Michael McCoy has over 30 years of experience representing financial institutions in commercial transactions. Today, Mike’s practice is concentrated on the representation of a large Wall Street investment bank in the origination of commercial conduit loans intended for securitization as well as complex loan servicing transactions for the two largest master servicers in the Commercial Mortgage-Banked Securitization (CMBS) industry.
Mike’s origination work includes loan origination matters for income-producing properties such as office buildings, hospitality properties, retail centers, apartment complexes, self-storage facilities and mobile home parks. Such matters include mezzanine loans, inter-creditor agreements, letters of credit, and issues relating to zoning, partial releases, equity transfers, and ground leases.
His CMBS servicing work is concentrated on complex loan assumptions, inter-creditor agreements, participation agreements, letters of credit, equity transfers, rating agency matters, lockbox agreements, non-consolidation opinions, review of pooling and servicing agreements as well as agency-originated loans.
During the Great Recession, Mike directed the firm’s representation of the FDIC in connection with commercial securitizations, structured loan sales and other complex sales transactions. He also served as lead counsel for the FDIC in the sale of a $22 billion servicing portfolio consisting of approximately 100,000 single-family loans owned by Freddie Mac and Fannie Mae. Mike also handled sales of servicing rights by the FDIC. He served as lead counsel for McCoy & Orta when the firm partnered with the law firm Cadwalader Wickersham & Taft LLP in the representation of the U.S. Department of the Treasury in the Community Development Financial Institution Capital Investment Program.
Mike is married to Dr. Aleda Toma, a well-known Oklahoma oncologist. Mike and Aleda have two adult children and a son-in-law and enjoy spending time at their Park City and Santa Monica retreats.
